UNIVERSAL RELEASE OF LIABILITY, ASSUMPTION OF RISK, INDEMNIFICATION, MEDIA, DIGITAL CONSENT, GOVERNANCE, AND SYSTEM-ENFORCED PARTICIPATION AGREEMENT

SECTION I: PURPOSE, VOLUNTARY PARTICIPATION, AND CHARITABLE INTENT
Knowledge Point Network (KPN) is a Texas-registered 501(c)(3) nonprofit organization operating charitable, recreational, educational, stewardship, veteran-support, youth-leadership, wellness-adjacent, and community-service activities. This Agreement is intended to serve as a comprehensive, continuing, and enforceable release of liability, assumption of risk, indemnification, media consent, digital consent, governance, intellectual-property assignment, and system-enforced participation instrument.
This Agreement is intentionally detailed. Its length is not a defect, a penalty, a surprise, or a burden. Its detail is evidence of disclosure. KPN activities involve people, vehicles, animals, equipment, trails, land, media, digital systems, volunteers, donors, youth, veterans, families, and public-facing reputation. A short waiver would fail to describe the scope of risk and would increase uncertainty. The Participant accepts this Agreement as a full disclosure document and as a condition of voluntary participation.
Participation is voluntary. No person is required, compelled, or coerced to participate, volunteer, donate, create an account, attend an event, receive services, or remain involved with KPN. Participation may be declined or discontinued, subject to the consequences of this Agreement regarding access, status, contributions, system records, media rights, intellectual property, and mission continuity.
All Contributions, as defined below, are made voluntarily in furtherance of KPN’s charitable mission and are not made as a commercial exchange unless a separate written agreement signed by an authorized KPN officer states otherwise. No compensation, ownership interest, equity interest, profit participation, reimbursement, commission, wage, vested right, or future benefit is guaranteed or implied.
SECTION II: DEFINITIONS
For purposes of this Agreement, “KPN” includes Knowledge Point Network, its officers, directors, employees, volunteers, contractors, agents, donors, sponsors, land partners, property hosts, advisors, affiliates, successors, assigns, program divisions, event partners, cooperating organizations, and any person or entity acting in good faith for KPN’s charitable mission.
“Participant” includes any individual, entity, volunteer, guest, contractor, parent, guardian, donor, program participant, service user, visitor, spectator, invitee, vendor, partner, collaborator, media representative, content creator, marketing provider, public official, landowner, beneficiary, service recipient, account holder, applicant, registrant, minor participant through a parent or guardian, or any other person or group interacting directly or indirectly with KPN assets, staff, volunteers, programs, equipment, premises, events, systems, publications, communications, platforms, or promotional material.
“Protected Parties” means KPN and all persons or entities intended to benefit from this Agreement, including officers, directors, volunteers, staff, contractors, landowners, property hosts, event partners, sponsors, donors, affiliates, successors, assigns, agents, heirs, and related charitable or mission entities.
“Presence” means physical attendance, digital access, program registration, observation, invited participation, volunteer work, donor engagement, vendor engagement, property access, website use, social-media engagement, app use, email or text interaction, recorded appearance, or any interaction in which KPN’s activities, assets, people, property, systems, or mission are involved.
“Engagement” means measurable, recorded, mission-aligned activity, communication, contribution, advocacy, reporting, platform use, program participation, responsiveness, or other conduct recognized by KPN as active involvement.
“Contributions” means all intellectual, digital, physical, creative, operational, financial, strategic, media, technical, mechanical, educational, marketing, training, software, photographic, written, spoken, recorded, posted, texted, emailed, donated, drafted, partial, incomplete, in-progress, or completed materials, ideas, assets, work product, goodwill, resources, or developments created, provided, shared, posted, funded, stored, or made available in connection with KPN activities, programs, platforms, or mission.
SECTION III: SCOPE OF APPLICATION
This Agreement applies to all KPN-sponsored, KPN-managed, KPN-affiliated, KPN-supported, KPN-promoted, KPN-recorded, KPN-benefitting, or KPN-connected activities, regardless of whether the activity occurs on land owned by KPN, land borrowed by KPN, land leased by KPN, federal land, partner land, public land, private land, event grounds, commercial premises, roads, trails, campsites, ranches, aircraft adjacent locations, digital platforms, or communication systems.
Covered programs include without limitation: Dozer Dogz, Huck the Event Truck, Jr. Ambassadors, Optic Flow, Health and Wellness programming, service-dog-related programming, mobility support activities, Outdoor Disabled Veteran programming rebranded from the previous Off-Road Trackchair Adventure, environmental stewardship, trail corridor layout and subsequent maintenance, erosion control, youth leadership, veteran engagement, fundraising, donor events, public demonstrations, parades, workshops, camps, community outreach, educational events, marketing events, training events, equipment demonstrations, and future KPN initiatives.
Covered property and assets include without limitation: Bobcat skid steers, M35 military trucks, Military Mule side by side, civilian side by side Can-Am, Walter Zero Turn mower, remote control RC motorcycles, Huck the Event Truck, generators, trailers, toy hauler trailers, heavy hauling trailers with capacity greater than 14,000 pounds, brush cutters, trenchers, military mechanical mules, track chairs, off-road vehicles, motorcycles, chainsaws, winches, mechanical come-alongs, rigging, ramps, water tanks, signage, power tools, hand tools, welding equipment, fuel systems, compressed gas systems, animal-handling equipment, service-dog equipment, digital platforms, cameras, microphones, audio systems, drones where used lawfully, and related stewardship technology.
Covered locations include without limitation: McKean Co PA, Montgomery County locations Texas, Sam Houston National Forest activity areas, Reklaw-related locations, Flying M Ranch-related locations, 10 Mile Ranch-related locations, 5-D Ranch-related locations, private landowner sites, event sites, public parks, parade routes, roads, trailheads, campsites, remote offices, borrowed land, and any additional land or facility where KPN activities occur.
SECTION IV: SYSTEM-BASED ACCEPTANCE AND DIGITAL CONSENT
This Agreement becomes binding upon any one or more of the following: account request, account creation, digital acceptance, click-through acceptance, registration, use of KPN systems or platforms, submission of content, participation, presence, continued engagement after notice, or receipt of access or benefit connected to KPN.
No separate handwritten signature is required when acceptance is established through digital means, account creation, platform use, registration, continued use after notice, or other conduct recognized by applicable electronic-signature law. The Participant agrees that electronic acceptance, system use, and recorded activity may constitute consent under the Electronic Signatures in Global and National Commerce Act and applicable state electronic-signature laws.
KPN may retain access records, IP addresses, device information, timestamps, user-agent data, form submissions, consent records, emails, text messages, call logs, uploads, metadata, journaling entries, reports, images, and related records for compliance, security, governance, mission documentation, donor reporting, audit defense, and evidence of consent. KPN will respond to requests for historical records only as required by applicable law, valid court order, subpoena, or written authority recognized by KPN, and any such request must be specific enough for KPN to identify the records sought.
System records are authoritative evidence of engagement, non-engagement, acceptance, communication, platform use, account status, and participation history. The Participant agrees that disputes concerning participation or account status may be resolved on the basis of the KPN system logs and records.
SECTION V: ASSUMPTION OF RISK
The Participant knowingly, voluntarily, and irrevocably assumes all risks, whether known, unknown, disclosed, undisclosed, foreseeable, unforeseeable, inherent, latent, obvious, concealed, ordinary, unusual, environmental, mechanical, human-caused, animal-caused, weather-related, terrain-related, administrative, digital, reputational, or operational.
Risks include, without limitation, bodily injury, illness, permanent disability, death, emotional distress, psychological reaction, property damage, financial loss, reputational exposure, conflict, public criticism, emergency-response limitations, loss of use, equipment failure, miscommunication, and third-party misconduct.
The Participant expressly agrees that risk exists regardless of any safety instruction, omission, inspection, demonstration, miscommunication, under-warning, over-warning, lack of warning, training, supervision, prior experience, observed condition, verbal statement, implied assurance, or past participation. No statement, communication, instruction, inspection, demonstration, or condition shall be relied upon as a guarantee of safety.
Risk includes slips, trips, falls, collisions, crush injuries, pinch points, sharp tools, hot surfaces, flying debris, dust, smoke, noise, vibration, poor footing, uneven terrain, loose gravel, hidden stumps, sudden drops, rollovers, equipment failure, trailer detachment, improper loading, vehicular collision, chainsaw contact, hand-tool injury, insect bites, snake exposure, dehydration, heat stress, cold exposure, lightning, flood, fire, wind, crowd movement, animal unpredictability, public interaction, neighbor conflict, POA or municipal issues, and ordinary or extraordinary hazards associated with KPN activity.
The Participant accepts that KPN activities may occur in rugged, remote, imperfect, unfinished, under-maintained, improvised, volunteer-supported, or changing environments. KPN mission work often occurs in environments where conditions are unpredictable, unmanicured, not professionally engineered, and not risk-free.
SECTION VI: RELEASE OF LIABILITY
The Participant, on behalf of themselves and all associated heirs, assigns, successors, spouses, dependents, minors, guests, invitees, employees, agents, pets, animals, representatives, estates, and insurers, releases and forever discharges KPN and all Protected Parties from any and all claims, demands, actions, damages, losses, injuries, death, property damage, emotional distress, reputational injury, economic loss, participation disappointment, program removal, denied access, communication dispute, content-use objection, ordinary negligence claim, or related claim arising from or connected to any KPN activity.
This release includes, to the maximum extent permitted by law, claims based on ordinary negligence, premises liability negligence, operational negligence, supervisory negligence, instructional negligence, communication errors, failure to inspect, failure to maintain, failure to warn, failure to supervise, failure to train, combined negligence, shared negligence, contributory negligence, and any claim that KPN’s conduct was a contributing factor.
This release applies before participation, during participation, after participation, after termination of involvement, and after account closure or system unenrollment. No claim shall be brought for injuries, events, communications, media use, property matters, or disputes occurring before, during, or after interaction with KPN or its programs when related to KPN participation, presence, observation, platform use, or benefit.
KPN is not responsible for secondary, delayed, indirect, consequential, emotional, reputational, financial, or unintended consequences resulting from erosion control, land improvement, regrading, ditching, sediment removal, water redirection, trail work, equipment operation, dog placement, digital publication, program participation, public appearance, volunteer engagement, transportation, weather exposure, or third-party conduct. KPN is not responsible for loss of value, environmental damage, theft, deterioration, abandonment, or storage burden related to short-term safekeeping or long-term storage of personal items or property located on, associated with, delivered to, or left under the custody or practical control of KPN, its founder, representatives, facilities, events, or heirs. Any property or item left with, stored by, or associated with KPN is governed by the written documentation applicable to that item and by the automatic unenrollment, abandonment, divestiture, and contribution-control provisions of Section XIX.
Nothing in this Agreement is intended to release claims that cannot lawfully be released. If any release is deemed overbroad, it shall be narrowed and enforced to the maximum extent permitted by law rather than removed.
SECTION VII: INDEMNIFICATION AND DEFENSE
The Participant agrees to defend, indemnify, and hold harmless KPN and all Protected Parties from and against any and all claims, causes of action, damages, liabilities, expenses, losses, demands, regulatory complaints, third-party disputes, property claims, injury claims, reputational claims, intellectual-property claims, content claims, and reasonable attorneys’ fees arising from or related to the Participant’s actions, omissions, speech, writing, posts, content, guests, invitees, minors, animals, property, equipment use, proximity, violation of instructions, or breach of this Agreement.
Indemnification includes claims involving third-party landowners, hosts, agencies, donors, sponsors, vendors, beneficiaries, neighbors, family members, public officials, media representatives, online audiences, contractors, volunteers, or persons brought, referred, invited, encouraged, transported, supervised, influenced, or represented by the Participant.
The duty to defend and indemnify begins upon notice of a claim or threat of claim to the maximum extent permitted by law. The obligation includes reasonable legal fees, investigation costs, expert fees, court costs, settlement costs approved by KPN, reputational defense costs, media-response costs, and expenses incurred to protect KPN’s mission, donors, beneficiaries, leadership, or assets.
KPN shall control its defense strategy, including the selection of counsel, litigation posture, public response posture, and settlement decisions, except where prohibited by law or insurance requirements. The Participant shall not compromise, settle, admit liability, contact opposing parties on behalf of KPN, or speak for KPN without written authorization.
This indemnification obligation survives termination, unenrollment, withdrawal, resignation, death, incapacity, account closure, and separation from KPN.
SECTION VIII: EQUIPMENT, MACHINERY, VEHICLES, TOOLS, AND PPE
The Participant acknowledges that KPN equipment, tools, vehicles, trailers, animals, sites, and event environments may be dangerous. Participation requires attention, compliance with safety briefings, adherence to site instructions, appropriate clothing, use of personal protective equipment as directed, hydration, situational awareness, and immediate reporting of hazards.
Equipment and site risks include, without limitation, skid steers, military trucks, trailers, dump buckets, winches, ramps, ATVs, motorcycles, Huck the Event Truck, mechanical come-alongs, rigging, water tanks, signage, power tools, mechanical mules, therapy apparatus, brush cutters, trenchers, chainsaws, compressed gas, manual hand tools, tracked utility vehicles, welding operations, fuel storage, aerial devices, generator trailers, and related stewardship technology.
Safety briefings are mandatory before task-specific activities when required by KPN. Personal protective equipment may include helmets, gloves, boots, eye protection, ear protection, high-visibility clothing, respiratory protection, long sleeves, and other equipment. Failure to use proper PPE may result in removal from the activity and forfeiture of participation privileges without refund or compensation.
No person may ride, climb, sit, stand, lean, enter, operate, touch controls, attach items, remove items, fuel, start, drive, load, unload, tow, or otherwise engage with any KPN vehicle, trailer, machine, or tool without express permission from an authorized KPN representative.
Public display of a vehicle does not make the vehicle a playground. Parents and guardians remain responsible for minors. The Participant assumes the risk of public display proximity, crowd behavior, weather conditions, traffic, parking areas, moving equipment, temporary staging, and public-event variables.
SECTION IX: DOZER DOGZ, LAND, WATER, EROSION, AND STEWARDSHIP RISKS
The Participant acknowledges that Dozer Dogz and related stewardship activities involve machinery, terrain alteration, drainage work, erosion control, trail work, vegetation management, ditch work, culvert work, sediment movement, brush clearing, equipment staging, transportation, loading, unloading, and volunteer-supported operations. These activities are inherently hazardous.
KPN does not warrant that erosion control, grading, ditching, sediment retention, water diversion, trail design, compaction, vegetation clearing, or property-improvement efforts will increase land value, prevent flooding, stop erosion, satisfy a neighbor, satisfy an appraiser, satisfy an insurer, satisfy a permitting authority, or last for any particular service life.
All landowners and beneficiaries accept sole responsibility for post-project maintenance, including vegetation regrowth, ditch clearing, culvert maintenance, sediment barrier upkeep, debris removal, drainage monitoring, slope stabilization, neighbor communication, property inspection, and any professional engineering review required for long-term assurance.
Volunteers operating machinery or tools are not represented as licensed contractors unless a separate written agreement states otherwise. They operate in a charitable stewardship capacity. The Participant waives claims arising from volunteer-based good-faith activity, ordinary error, imperfect result, dust, noise, delays, equipment movement, property inconvenience, or noncommercial mission service.
No claim shall be made against KPN for downstream sedimentation, altered runoff paths, temporary disturbance, neighbor disagreement, perceived property-value impact, vegetation change, or drainage outcome unless independent third-party civil engineering verification proves gross negligence or willful and wanton misconduct by KPN.
SECTION X: HEALTH AND WELLNESS, SERVICE DOG, AND SUPPORT DOG CLARIFICATIONS
The Participant acknowledges that KPN’s Health and Wellness Division may involve psychiatric service animals, therapy dogs, mobility support dogs, human support, veteran engagement, family engagement, emotional conversations, public storytelling, outdoor activity, accountability expectations, and mission-based participation. KPN is not a medical provider, mental health treatment provider, insurer, hospital, emergency care provider, psychiatric evaluator, or a substitute for professional care.
Clients receiving dogs, support, training, access, or program assistance acknowledge that any dog issued by KPN remains the exclusive property of KPN unless a separate written transfer agreement is signed by an authorized KPN officer. A dog is not owned by the client merely because the client has possession, receives training, contributes care, provides housing, or participates in programming.
Due to recurring disputes, heightened emotions, and erratic behavior that may arise in animal-centered programs, this Section clarifies the service essence of KPN’s Health and Wellness program for animals. Donations to this category may support short-term kenneling at approved partner kennels, where premium pet-care resources and services allow a client to separate from a pet with documented care and reduced disruption.
If the recipient fails to maintain required care, discipline, housing, reporting, conduct, veterinary follow-up, safety practices, or program expectations, KPN may immediately retrieve the dog. Behavioral probation may be implemented for hours, days, weeks, or longer at KPN’s discretion. Suitability determinations rest solely with the KPN Program Administrator.
Participants, families, volunteers, observers, and clients waive claims of emotional injury, disappointment, embarrassment, psychological harm, reputational discomfort, program removal, dog retrieval, loss of privilege, or disagreement with KPN suitability determinations, except to the extent such waiver is prohibited by law.
SECTION XI: MINORS, PARENTS, AND GUARDIANS
No minor may participate in restricted or higher-risk activities without parental or guardian authorization, emergency contact information, identity verification where required, and program-specific permission forms. KPN may require notarized permission, photo identification, medical disclosure, medication disclosure, pickup authorization, transportation approval, and activity-specific consent. Parents and Guardians must accompany the minor at all times and during all activities.
Parents and guardians acknowledge that youth programs may involve outdoor environments, tools, animals, equipment, public events, peer interaction, mentoring, photographs, audio, video, journaling, social presence, leadership responsibility, disappointment, correction, behavioral expectations, and exposure to adult service themes. KPN does not guarantee emotional outcomes, therapeutic results, behavioral changes, academic results, or family outcomes.
Parents and guardians accept responsibility for a minor’s conduct, safety awareness, obedience to instructions, property damage, emotional response, medical needs, digital representation, communication, and consequences arising from the minor’s participation, observation, or presence.
No parent, guardian, relative, representative, or third party shall hold KPN liable for ordinary emotional reactions, fatigue, frustration, public appearances, corrections, removal from activities, denied access, image capture in a public event context, or failure to achieve a desired personal result.
SECTION XII: TRAVEL, TRANSPORTATION, THIRD-PARTY VENDORS, AND EVENTS
Travel, lodging, shared transit, ride sharing, convoy movement, private vehicle use, vendor transport, and third-party transportation are not the responsibility of KPN unless a separate written agreement expressly states otherwise. Riders, drivers, passengers, neighbors, or guests may not allege negligence against KPN for accidents, illness, lost property, route changes, delays, scheduling conflicts, or transportation decisions made by third parties.
Collaborators, vendors, sponsors, property hosts, landlords, event operators, and third-party service providers are responsible for their own operations, personnel, equipment, insurance, conduct, and compliance. KPN’s participation in an event does not create control over third-party operations.
KPN may reschedule, cancel, relocate, suspend, restrict, revise, remove access, change assignments, adjust field operations, terminate participation, unenroll participants, or reallocate resources due to weather, safety, government order, resource failure, illness, accident, security concern, animal issue, volunteer shortage, donor issue, public disorder, equipment failure, or mission priority. No refund, reschedule demand, reliance claim, or third-party blame shall be valid unless expressly accepted in writing by KPN.
SECTION XIII: MEDIA, IMAGE, AUDIO, LIKENESS, AI, AND CONTENT RIGHTS
The Participant grants KPN, its affiliates, agents, representatives, contractors, sponsors, and authorized media partners the irrevocable and unrestricted right to capture, use, reproduce, distribute, edit, publish, archive, display, license, modify, transform, and create derivative works from any image, video, audio, written content, name, likeness, voice, testimony, performance, demonstration, accomplishment record, journaling excerpt, quote, media, digital content, social-media content, or product resulting from or associated with participation in KPN activities.
This release extends to individuals or entities photographed, recorded, documented, or appearing incidentally during KPN events, including youth, minors through guardians, pets, service animals, veterans, donors, public officials, volunteers, spectators, passersby, vendors, and partner representatives, subject to applicable law and any written limitations accepted by KPN. It is the individual’s responsibility to avoid capture of their appearance, initially or in any future replication or rendering; thus, “distance” is the best way to avoid media capture of you, your family, pets, or guests. Distance from events, websites, volunteers, etc., is your responsibility, not KPN’s, to avoid or track who is agreeable versus those not inclined to have their image, voice, or likeness captured at a location, time, or appliance connected to the internet, cellphone, or computer.
KPN may use such material for mission reporting, grant reporting, donor stewardship, volunteer recognition, risk management, compliance, training, marketing, social media, print collateral, website content, fundraising, press releases, internal records, public education, archival purposes, artificial intelligence tools, derivative works, composite works, simulations, and future technologies.
The Participant grants KPN perpetual, irrevocable, worldwide rights to generate, use, modify, deploy, archive, and distribute AI-assisted, AI-generated, simulated, composite, derivative, edited, or transformed content connected to KPN, its mission, programs, personnel, equipment, assets, events, or contributions. Consent cannot be revoked retroactively. No claim shall arise from editing, context, sequencing, framing, public interpretation, AI transformation, simulation, or derivative use.
The Participant waives any claim for compensation, royalties, approval rights, inspection rights, emotional distress, reputational discomfort, privacy objections, removal, deletion, revocation, or return arising from lawful KPN use of captured content, except where prohibited by law or limited by a specific written agreement signed by an authorized KPN officer. The Participant surrenders all content, data, map renderings, journal entries, journey routes, geotagged records, and accomplishment-report materials created, submitted, stored, or generated through KPN’s use of the Ramblr journaling and geotagging application or any successor platform. The layering of renderings, time records, donated-goods value assessments, and accomplishment-report data within the website is proprietary to KPN and may not be replicated, recorded, posted, emailed, texted, downloaded, scraped, exported, or distributed except as expressly authorized in writing by KPN. The accumulation of time, treasures, donated goods, travel stewardship, or service activity may be used by KPN as an assessment of value, but it is not compensation, reimbursement, wages, or a transfer of ownership to the Participant, volunteer, contractor, donor, or user.
SECTION XIV: MEDIA, MARKETING, DIGITAL COMMUNICATION, PUBLICATION, AND THIRD-PARTY CONTENT CONTROL
No person or entity may publish, edit, distribute, commercialize, frame, caption, narrate, simulate, imitate, manipulate, summarize, train on, represent, or create content involving KPN without prior written approval from an authorized KPN officer where such content is presented as official, affiliated, endorsed, internal, representative, or connected to KPN operations.
Unauthorized selective editing, omission of material context, misleading emotional framing, implied endorsement, false affiliation, defamatory implication, donor confusion, beneficiary exposure, inaccurate program description, or reuse of KPN’s name, logo, mission, program names, equipment images, vehicle likeness, leadership likeness, volunteer likeness, beneficiary likeness, or internal processes is prohibited.
No party may copy, scrape, export, screenshot, reconstruct, duplicate, reverse engineer, publish, or replicate KPN systems, dashboards, app processes, accomplishment-report methods, donor-tracking concepts, training materials, internal communications, templates, registration workflows, images, documents, or operating methods except as expressly authorized in writing.
Any marketing firm, publisher, media representative, creator, designer, contractor, consultant, or technology provider interacting with KPN becomes bound by this Agreement to the extent permitted by law and by the written or electronic terms of their engagement. KPN reserves the right to revoke collaborations, demand correction, require takedown, terminate access, and seek damages where content harms or misrepresents KPN.
SECTION XV: NON-DISPARAGEMENT, NON-MISREPRESENTATION, CONFIDENTIALITY, AND MISSION PROTECTION
The Participant shall not knowingly make, publish, assist, encourage, distribute, or amplify false, misleading, defamatory, materially incomplete, malicious, or context-stripped statements about KPN, its officers, directors, volunteers, beneficiaries, donors, sponsors, partners, programs, events, animals, equipment, assets, systems, or mission. The individual is forbidden from typing, voicing derogatory statements or feelings, including non-verbal, indirect, or implied communications that convey disparagement or misrepresentation, either directly or by prompting others to perform such acts.
This clause is intended to protect KPN from misrepresentation, defamation, donor confusion, beneficiary harm, reputational injury, operational disruption, false affiliation, and unauthorized representation. It is not intended to prevent lawful reporting to government authorities, truthful statements required by law, protected legal rights, or communications that cannot lawfully be restricted.
Where disagreement exists, the Participant agrees to provide written notice to KPN and allow a reasonable opportunity for review, correction, clarification, mediation, or internal response before making public accusations, unless immediate reporting is required by law or concerns emergency safety. At the instance of the individual, volunteer, participant, contractor, or staff member who utters less than a favorable affirmation in the presence of others, immediate discontinuation of support, communication, resource allocation, and reasoning will be extended directly or through appointed support. Participants shall refrain from conduct, whether verbal or non-verbal, that undermines mission integrity or creates reputational harm. When you do it, it’s noted with a swift departure to a neutral stance, observing the individual, followed by speedy separation.
Nothing in this Agreement requires silence concerning unlawful conduct, prevents communication with law enforcement or a regulator, prevents truthful testimony under subpoena, or prevents rights that cannot legally be waived. This provision shall be interpreted as a lawful non-disparagement, confidentiality, non-misrepresentation, brand-protection, and mission-protection covenant, not as an unlawful restraint on protected speech.
SECTION XVI: VOLUNTEER STATUS, NON-COMMERCIAL INTENT, AND NO EMPLOYMENT RELATIONSHIP
All work performed under KPN’s charitable purview is voluntary and non-commercial unless a separate written contract expressly states otherwise. No participant, contractor, volunteer, donor, observer, beneficiary, reseller, advocate, or informal helper may imply an employment relationship, subcontractor relationship, partnership, agency, franchise, ownership interest, wage claim, commission claim, reimbursement right, or entitlement based on volunteer activity, donated time, services, materials, ideas, or contacts.
Participation does not create employment, contractor status, agency, partnership, joint venture, fiduciary relationship, entitlement to hours, entitlement to compensation, entitlement to reimbursement, or right to continued participation. The Participant retains control over personal conduct outside KPN activities; KPN standards apply within the scope of participation, representation, access, systems, programs, roles, and mission-related conduct.
Any reimbursement, stipend, compensation, mileage, expense recovery, or financial benefit, if offered, is discretionary and subject solely to approval by KPN’s accounting authority or Chief Executive Officer, in accordance with KPN policies, budgets, mission priorities, and governance decisions. No expectation is created by prior practice, verbal discussion, informal assurance, text message, social relationship, or effort expended.
SECTION XVII: DONATIONS, GIFTS, FUNDS RAISED, AND FINANCIAL CLARITY
Any donations, gifts, funds, contributions, sponsorships, retainers, or financial support raised, solicited, collected, facilitated, introduced, or encouraged by the Participant on behalf of or in connection with KPN are irrevocably contributed to KPN’s charitable mission unless a separate written agreement signed by KPN states otherwise.
Such funds are not personal property, wages, commissions, contingent earnings, finder’s fees, reimbursement rights, or ownership interests of any individual. No ownership interest, entitlement, reimbursement right, lien, claim, or personal benefit is created by effort expended, time invested, relationship to donor, source of contribution, fundraising success, program idea, or informal expectation.
KPN maintains financial-control provisions to ensure continuity of mission delivery, protect shared resources from fragmentation, prevent disruption caused by disengagement, support donor trust, and preserve charitable assets for charitable use. These provisions are applied consistently, without discrimination, and in support of long-term mission sustainability.
Donated dollars, retainers, stock or land interests, blockchain or cryptocurrency assets, frequent flyer miles, restricted gifts, in-kind services, and any other item or gift of value are subject to written acknowledgment only as required by applicable law and KPN policy. Any charitable deduction, tax-deductible status, valuation, substantiation, or reporting position remains the donor’s responsibility to defend before the Internal Revenue Service or any state authority, not KPN’s responsibility to guarantee. KPN is held harmless to the fullest extent permitted by law when it provides the minimum written acknowledgment required for the gift or contribution received. Services, benefits, access, or abilities received as a result of giving may constitute consumed value and may reduce or eliminate deductibility. Unused, unclaimed, or unconsumed portions of gifts, donations, retainers, or restricted giving may be converted, reallocated, or redirected to the most needed KPN mission category, typically at fiscal year end or at another reporting interval determined by KPN, unless a separate written restriction signed by an authorized KPN officer requires otherwise.
SECTION XVIII: ROLE SCREENING, ELIGIBILITY, COMMUNICATION, AND STATUS VERIFICATION
Participation with KPN in any capacity is conditional, revocable, and subject to role-based eligibility requirements determined by KPN. Initial participation may be permitted without enhanced screening, but advancement to, consideration for, or continuation in certain roles may require additional information, documentation, screening, agreements, training, conduct expectations, and authorization.
Roles requiring additional review may include those involving compensation, contracting, value-added resale of services, leadership responsibility, external representation, public communication, access to sensitive information, access to financial information, use of KPN assets, use of vehicles, access to minors, proximity to protected populations, service dog custody, donor interaction, beneficiary interaction, or authority to speak for KPN.
KPN may require full legal name, identity verification, date of birth, government-issued photo identification, current residential address, residential address history covering at least seven years, Social Security number provided directly to a third-party screening provider if required, criminal background screening, sex offender registry screening, identity trace, alias verification, employment history, credential verification, license verification, role agreements, confidentiality agreements, non-representation agreements, contractor agreements, reseller agreements, reporting acknowledgments, periodic rescreening, or updated disclosures.
If the Participant represents themselves as a veteran, service member, beneficiary of military-related status, public official, licensed professional, contractor, credential holder, donor representative, corporate representative, parent, guardian, or person holding any status affecting eligibility, prioritization, representation, access, or opportunity, KPN may require verification. Misrepresentation of status, refusal to provide requested verification, or failure to respond within required timeframes may result in limitation, suspension, termination, or unenrollment. Instances of assured misrepresentation of credentials, historical rankings, claims of being a veteran, or subject matter expert that is not verified in writing with supporting documents within 48 hours of the claim will be reported to the fullest extent of the law.
SECTION XIX: SYSTEM-ENFORCED ENGAGEMENT, AUTOMATIC UNENROLLMENT, DIVESTITURE, AND CONTRIBUTION CONTROL
The Participant acknowledges that participation in KPN is governed through a system-based engagement model. Participation requires continuous, measurable engagement as recorded in KPN systems, including activity on the platform, communication and responsiveness, contributions to programs, advocacy, reporting, compliance with agreed directions, and contributions to mission operations. Failure to act, participate, or follow required steps constitutes voluntary non-engagement and eliminates any basis for a claim against KPN. Expectation without action does not create obligation, liability, or claim. Failure to use required systems, including journaling, reporting, or platform engagement, constitutes non-participation.
The Participant agrees that participation is governed by a rolling thirty (30) day engagement cycle. Thirty (30) consecutive days of inactivity, non-response, silence, failure to communicate through recognized systems, refusal to act, repeated deviation from the agreed direction, or non-compliance shall result in automatic unenrollment within 30 days. Unenrollment is system-executed. KPN may provide notice where it is commercially reasonable, but is not required to do so to affect enrollment.
Engagement requires action, not mere acknowledgment. Agreement without action constitutes non-engagement. Responding that one understands, while repeatedly adhering to personal preference over the agreed direction, constitutes non-compliance. Repeated continuation of behaviors previously identified, acknowledged, or agreed to be corrected within any thirty (30) day engagement cycle constitutes patterned non-compliance and is treated the same as inactivity.
Upon unenrollment, all access, roles, permissions, privileges, internal communications, authority to represent KPN, authority to use KPN assets, authority to contact beneficiaries or donors, and participation status are immediately revoked. All accumulated standing, status, goodwill, points, role history, perceived value, future expectation, or participation value are immediately null and void. Any future participation, if permitted, begins from day one with no carryover.
The Participant agrees that all contributions made in connection with KPN are voluntarily provided in furtherance of its charitable mission and are irrevocably assigned to KPN upon creation, submission, sharing, posting, use, storage, discussion, or development within the scope of KPN activities. Contributions include intellectual property, naming, branding, slogans, marketing concepts, software code, systems, digital architecture, mechanical designs, processes, methods, copyrighted or copyrightable works, patentable or licensable concepts, training programs, dog-training curriculum, educational materials, funding strategies, donor pathways, program constructs, written ideas, typed ideas, texted ideas, communicated ideas, social media content, photographs, video, audio, recorded materials, works in progress, drafts, prototypes, developing concepts, partial developments, and all tangible, treasure, time, talent, or mission-connected work product.
Contributions are not loaned, borrowed, conditionally provided, temporarily stored, or subject to later recovery. Contributions are permanently transferred to and retained by KPN. Contributions are no longer under the Participant’s control. KPN retains full and exclusive authority to use Contributions in original or modified form; edit, retool, rebrand, or restructure Contributions; integrate Contributions into other programs or systems; distribute, license, monetize, market, or commercialize Contributions; or discontinue use of Contributions at KPN’s discretion.
No approval is required for KPN use, modification, adaptation, monetization, rebranding, or deployment of Contributions. No compensation is required unless separately agreed in writing. No limitation exists on KPN’s use or commercialization of Contributions related to KPN activities. Dog training curriculum, program funding strategies, platform logic, brand concepts, mechanical concepts, software concepts, and any mission-developed system are KPN property when created, shared, developed, or advanced in connection with KPN.
The Participant agrees that no claim may be made for return, recovery, reimbursement, restoration, or control of Contributions, whether tangible, intangible, digital, financial, physical, or otherwise. No claim may be made for cash, frequent flyer miles, shares of stock, land, vehicles, funds, Bitcoin, cryptocurrency, blockchain assets, grant-match items, licenses, royalties, animals, program assets, donated value, or mission-connected resources. No claim may be made based on authorship, origin, prior involvement, restoration of status, goodwill, participation rights, or perceived accumulated value, and no such claim may be made by heirs, family members, representatives, successors, assigns, or estates. All Contributions remain with KPN regardless of incapacity, death, disengagement, vacation, travel, silence, relocation, refusal to participate, or automatic unenrollment.
Physical items associated with KPN activities are not guaranteed storage or return. Failure to retrieve such items after a reasonable opportunity to do so before unenrollment, abandonment, or thirty (30) days of disengagement or non-communication constitutes relinquishment to the maximum extent permitted by law. KPN may retain, repurpose, donate, dispose of, use, store, or discard such items at its discretion, subject to applicable law and any separate written agreement signed by an authorized KPN officer.
This Section is self-executing through system-based tracking and enforcement. Any ambiguity shall be resolved in favor of KPN ownership, KPN control, KPN mission continuity, KPN operational continuity, and preservation of charitable resources. Any and all items of tangible or intellectual property may be monetized or converted to cash to be deposited into the KPN bank account within a commercially reasonable timeframe consistent with applicable law.
SECTION XX: FEDERAL LAND, TEXAS LIMITED DUTY, PREMISES IMMUNITY, AND SITE-SPECIFIC CLARIFICATIONS
Pursuant to Texas Civil Practice and Remedies Code Chapter 75, including Sections 75.001 through 75.007, the Participant is notified that KPN, as a Texas-registered 501(c)(3) nonprofit entity operating recreational, educational, therapeutic, and stewardship-based programs, assumes no duty of care to keep premises safe for entry or use by others for such purposes except to the limited extent required by law.
The Participant acknowledges and agrees that KPN and cooperating landowners owe no duty to warn, inspect, maintain, or make premises safe for recreational, volunteer, charitable, educational, therapeutic, stewardship, or mission-oriented use except where such duty cannot lawfully be waived. KPN shall not be liable for injuries, death, or property damage unless such harm results from gross negligence, bad faith, or willful and wanton misconduct as defined by applicable law.
For all activities conducted on federally managed lands, including but not limited to Sam Houston National Forest or any site overseen by the United States Department of Agriculture, the United States Forest Service, or another federal agency, the Participant acknowledges that KPN does not own, control, maintain, regulate, or guarantee the federal land, infrastructure, trails, signage, facilities, bridges, roads, closures, enforcement actions, or natural conditions.
The United States government, its departments, agencies, and personnel retain sovereign immunity and cannot be held liable through private waiver, contract, or tort claim except as expressly allowed under the Federal Tort Claims Act or other applicable law. The Participant enters federal land at their own risk and agrees to comply with all posted rules, regulations, permits, closures, and enforcement policies of the federal agency controlling that land.
By engaging with any KPN property, program, or affiliated location, including but not limited to Flying M Ranch, Reklaw-related locations, 10 Mile Ranch, 5-D Ranch, Montgomery County locations (GYM), public parks, private land, federal land, or temporary event locations, the Participant acknowledges expanded site-specific risk including terrain instability, historic land use, slope grades, remote access, wildlife proximity, aviation-adjacent activity, weather volatility, public-event crowding, neighbor conflict, fencing, gates, private roads, livestock, vegetation, water crossings, fire risk, flood risk, dust, noise, and limited emergency access.
SECTION XXI: POST-SEPARATION, ACCESS CONTROL, NON-REPRESENTATION, AND RECORDS
After termination, severance, suspension, resignation, unenrollment, inactivity, account closure, or voluntary disengagement, the Participant shall not represent association with KPN, contact beneficiaries on behalf of KPN, contact donors on behalf of KPN, use KPN logos, use KPN materials, access KPN systems, rely on KPN records, present themselves as active, solicit under KPN’s name, or imply authority unless specifically authorized in writing by KPN.
All KPN records, communications, documents, templates, operating methods, lists, donor information, beneficiary information, program records, digital systems, media assets, internal text messages, email threads, forms, contracts, waiver language, spreadsheets, grant drafts, donor strategies, training materials, and accomplishment-report methods are KPN-controlled materials unless a separate written agreement states otherwise.
No participant has a right to access, retrieve, copy, review, export, preserve, publish, screenshot, forward, or rely upon KPN records, communications, or internal materials after separation except where required by law or approved in writing by KPN.
Any attempt after separation to access systems, contact protected relationships, misrepresent affiliation, retain confidential materials, interfere with donors, interfere with beneficiaries, interfere with volunteers, or use KPN materials for independent advantage constitutes unauthorized conduct and may support injunctive relief, damages, takedown demands, access removal, and other remedies.
SECTION XXII: FORCE MAJEURE, OPERATIONAL CONTROL, AND NO WARRANTY
Fire, flood, tornado, hurricane, lightning, heat, freeze, drought, disease, government order, road closure, federal closure, resource failure, equipment failure, illness, accident, death, security concern, public disorder, animal issue, donor issue, volunteer shortage, weather event, or act of God shall not transfer liability to KPN.
KPN retains complete operational control to reschedule, cancel, relocate, suspend, restrict, revise, remove access, change assignments, adjust field operations, terminate participation, unenroll participants, or reallocate resources. No refund, reschedule demand, third-party blame, reputational claim, or expectation claim shall be valid unless expressly accepted in writing by KPN.
KPN makes no warranty, explicit or implied, regarding therapeutic impact, land value improvement, emotional result, community engagement result, event attendance, donor outcome, public response, animal performance, equipment reliability, erosion-control durability, trail condition, water control, weather outcome, public safety, property condition, program success, funding success, or participant outcome.
All participation is voluntary and mission-aligned. Benefits are earned through action, discipline, cooperation, and adherence to instructions. No entitlement is created by attendance, prior participation, donation, volunteer time, social relationship, family relationship, veteran status, donor status, public office, or personal need.
SECTION XXIII: GOVERNING INTERPRETATION, NON-RELIANCE, SEVERABILITY, VENUE, JURY WAIVER, AND REMEDIES
This Agreement constitutes the entire understanding between the Participant and KPN with respect to the subject matter herein and supersedes all prior or contemporaneous discussions, representations, assurances, understandings, customs, practices, texts, emails, conversations, or informal communications, whether oral or written, except for separate written agreements signed by an authorized KPN officer.
The Participant acknowledges and agrees that they have not relied upon, and will not rely upon, any oral statements, informal assurances, promises, expectations, customs, practices, silence, delay, accommodation, or representation of any kind by KPN, its officers, directors, staff, volunteers, agents, partners, sponsors, or affiliates except as expressly set forth in this written Agreement.
This Agreement may be amended, modified, or waived only by a written instrument executed by an authorized officer of KPN. No oral modification, implied consent, silence, failure to enforce, delay, informal accommodation, or isolated exception shall be deemed a waiver of KPN’s rights.
If any provision of this Agreement is determined by a court or other competent authority to be invalid, unenforceable, or overbroad, such provision shall be narrowed, reformed, and enforced to the maximum extent permitted by law rather than removed, and the remaining provisions shall remain in full force and effect.
This Agreement shall be binding upon and inure to the benefit of KPN and its successors, assigns, affiliates, related entities, program extensions, reorganizations, restructurings, partner vehicles, and any future entities formed to carry out KPN’s mission.
Any action or proceeding arising out of or relating to this Agreement, participation with KPN, KPN activities, KPN communications, KPN property, KPN digital systems, KPN media, KPN programs, KPN reputation, KPN donors, KPN beneficiaries, or KPN assets shall be brought exclusively in a court of competent jurisdiction located in Montgomery County, Texas, unless KPN elects another lawful venue. The Participant knowingly and voluntarily waives any right to trial by jury to the maximum extent permitted by law.
To the fullest extent permitted by law, any claim by the Participant shall be limited to injunctive or declaratory relief, if any is available at all. The Participant waives consequential, incidental, punitive, exemplary, emotional distress, reputational, lost-opportunity, lost-profit, special damages, attorneys’ fees, and costs, except where such waiver is prohibited by law. KPN retains the right to seek injunctive relief, damages, attorneys’ fees, costs, takedown orders, access restrictions, and other remedies where permitted.
SECTION XXIV: FINAL ACKNOWLEDGMENT AND CONTINUING EFFECT
By signing, electronically agreeing, registering, requesting or creating an account, accessing KPN systems, participating in KPN activities, accepting access, accepting benefits, entering KPN activity space, using KPN assets, submitting content, communicating through KPN systems, or continuing participation after notice, the Participant confirms that they have read and understood this Agreement or had the opportunity to do so, voluntarily accept and assume all stated and unstated risks, fully release and indemnify KPN and all Protected Parties, and understand that this Agreement is binding across programs, locations, equipment, platforms, communications, and situations. The recipient of this agreement, as participant, volunteer, contracted service provider, partner, partnering land owner, client, and or advisor, understands the essence is avoiding the event of some to reflect unfavorably, retaliate in tongue, engage in harassing, intimidating, disruptive, or antagonistic conduct, whether online or in person, against the KPN leadership, project coordinators, volunteers or associates.
The Participant acknowledges that this Agreement is intended to operate as a continuing agreement. Program names, locations, assets, tools, vehicles, technologies, communication methods, and risk environments may evolve. Continued participation after notice of updated terms constitutes acceptance to the maximum extent permitted by law.
The Participant acknowledges that participation is sustained through active engagement and alignment, not solely by duration. There is no indefinite accumulation of value. There is no retained ownership through participation. There is no recovery after disengagement. All mission-connected Contributions are voluntarily provided, system-tracked where applicable, permanently transferred, and fully controlled by KPN.
The Participant should consult legal counsel before signing, electronically accepting, requesting an account, or participating if they do not fully understand this Agreement. Participation is voluntary. Refusal to sign, accept, or participate may result in denial of participation, access, or services, or a limitation of role.
